Ref: Demand letter no-16909 dtd.14.12.2020.

With reference to the above subject, we are to intimate your kind goodself as per discussion with CGM(Fin), IDCO, Bhubaneswar, the above DD has been deposited at Head Office along with supporting documents in connection with change of name & style of M/s Cholamamdal Fibres(Orissa) (P) Ltd to M/s Interior Furniture & Kitchen (P) Ltd as the name of the unit has already been changed at ROC.

Now, we are submitting herewith the acknowledged letter submitted at IDCO, Head Office dtd.24.12.2020 along with xerox copy of above DD, ROC revision certificate in favour of M/s IFK(P) Ltd, Copy of ammended DIC certificate, Copy of GST regn. etc for kind information & necessary action. Copy of the above documents uploaded at site for needful action.

An early action may kindly taken for issue of MR for above DD and also issue of final letter in favour of the unit, so that we can able to apply further for change of name to regularized the issue as early as possible.

Ref : Your demand letter No-3318 dtd.12.02.2020.(at Correspondence Sl-8)

Sir,

With reference to the above letter and subject cited above, where in you were asked us to deposit 1. Penalty (damaged charges)-Rs.8,10,000.00, & 2. Sub-letting charges –Rs.11,31,859.00 along with GST & other charges at Cuttack Division office. In this regards, I am to submit our objection to waive out the above dues dues along with GST i.e. 1. Penalty (damaged charges)-Rs.8,10,000.00, & 2. Sub-letting charges –Rs.11,31,859.00 on the following grounds.

i) That we are very much sorry to submit our objection to the above cited letter with a 6 moths gap, because of affecting pandemic CORONA-19, So the delay may kindly be Condone.

ii) Sir, that after several correspondence with Cuttack Division & IDCO, Head office, finally, as per kind orders of CGM(ID), IDCO vide letter 5492 dtd.16.03.2010 (Copy uploaded at Correspondence Sl-6 series), DH, Cuttack has executed & registered the lease deed agreement with our Unit M/s Cholamandal Fibers Orissa Pvt. Ltd on 31.05.2010 (copy uploaded at above sl-6).

iii) That as regards, cancellation of the shed by the then Executive Engineer, Cuttack Division made during 2005, we have already submitted the reply in details on 21.12.2007, Copy uploaded at Correspondence Sl-6). In response to the above letter, Cuttack Division has verified the unit at that time &  no further remarks has given by them & since our unit was a running unit, so there is no penalty & sublet fees imposed to our unit. The same topics already been discussed at different level by our Ex-Director, Sri Ramesh Mohapatra.. Besides, there is no remarkable reply given by Cuttack Office on our above letter. So how the question of penalty & sublet fees imposed against us, though the matter i.e. Execution & registration of lease deed done with IDCO from May’2010 as per kind orders of CGM(ID).

iv) Sir, it is a matter of regret that after execution & registration of lease deed with IDCO done, as per kind orders of the then CGM(ID) (copy uploaded at Correspondence Sl-6), So there is no cancellation of allotment orders is in force after execution & registration of lease deed. Because, after considering all our documents as well as utilization proof , the then CGM(ID) has given orders for execution & registration of lease deed in our favour.

v) That, on 29.06.2012, we had applied for change name & style & activities of M/s Cholamandal Fibre (Orissa) (P) Ltd  Shed No-C/6, I/E Jagatpur(Old) to M/s Interior Furnitures & Kitchen (P) Ltd and in reply IDCO, Cuttack Division asked us for submission of required document vide their letter dtd.2190 dtd.11.07.2012 (Copy uploaded at Correspondence Sl-2)

vi) Accordingly, we had submitted all requisite documents along with copy of EM (Part-II) after obtaining from DIC, Cuttack at Cuttack Division for effecting the change name & style & activities of M/s Cholamandal Fibre (Orissa) (P) Ltd  Shed No-C/6, I/E Jagatpur(Old) to M/s Interior Furnitures & Kitchen (P) Ltd. (Copy uploaded at Correspondence Sl-2)

vii) But after lapses of seven years,  IDCO Cuttack Division without considering our change of name, style & activities of our Company, has again imposed us and process the old issue revocation of cancellation, which was settled after execution & registration of lease deed agreement during 2010.

So considering the above narrated situation/points, your kind good self may kindly be waive out; 1. Penalty (damaged charges)-Rs.8,10,000.00, & 2. Sub-letting charges –Rs.11,31,859.00 along with GST thereon & allow us to deposit the excess cost of land & Annual Rent & IMC at an early, for which act of yours, a MSME Unit like us will highly obliged.

            In connection with the subject mentioned above, it is to state that no documentary evidence is available with us as to subletting of premises of M/s  Cholomondal  Fibres (Orissa)Pvt. Ltd., Shed No. C-6 at I/E Jagatpur (Old). It is pertinent to mention that, during last cyclone in  July 2003, the entire Shed was submerged with Flood water  and  all the machinaries , records etc. has been destroyed  fully  and the matter was reported to you on 21.12.2007  against your letter No Ctc/Civ-ID/A-2192/01-96/1494 (2) dated 28.03.2005 , which may be referred to.

As regards subletting you stated that they have never sublet the premises to any third party after induction of new activity of S.S. Pipes/ S.S. Cabinets furniture & kitchen equipment duly approved by DIC, Cuttack . But you are silent about  the subletting prior to 4.12.13 i.e. after change of activity without approval of IDCO.

You have sublet to 3rd party in 2 phases for storage of raw materials from 10.06.89 to 10.06.92 as per our letter No-2133 dtd. 10.6.92.Another show case letter was also issued by this office bearing no-733 dtd. 18.02.2000 regarding sub-let to the 3rd party for storage of salt.

So please comply the followings:

  1. Exact period of subletting with tenant Agreement.
  2. Exact amount received towards rent.

 Sir,

                          With reference to above, we are to intimate that, the ground of cancellation like, (1) Shed allotted is not utilized for the purpose it was allotted & (2) unauthorized change of constitution  both has been complied by us vide our letter date 21.12.2007 along with other grounds. This has been intimated/ uploaded earlier to your good office , which may be referred to. However a copy of the same is up loaded here with for your reference. Furthermore , we had specifically requested IDCO vide our letter date 10.04.2008  for approval of change of constitution of the unit .(copy uploaded)

  1. In this regard, CGM (ID), IDCO, Bhubaneswar   has sought for some documents from your office vide his letter date 16.07.2008 (copy uploaded) in connection with revocation of cancellation of allotment  of Shed No. C/6 at I/E Jagatpur (Old ) and IDCO  Cuttack Division has furnished required documents in its letter date 26.03.2008 (copy uploaded)with a copy to us.
  2. That, to consider change of constitution of the unit , CGM (ID) in his letter No.15214 dated 07.8.2018 requested the Registrar of Company, Orissa, Cuttack (ROC) for their views & ROC has replied to IDCO in their  letter dated 07.11.2008 (copy uploaded)  for your reference.
  3.  That , CGM (ID), IDCO in his letter No. 23728 dated 20.12.2008 , No.8095 dated 07.05.2009 & No.11352 dated  01.07.2009 intimated us to submit  the copy of audited balance sheet, STCC & ITCC etc. in connection with revocation of cancellation of allotment  of Shed No. C/6 at I/E Jagatpur (Old ) (copy uploaded) and we had submitted required documents vide our letter dated 13.04.2009 & dated 08.06.2009.
  4. That, CGM (ID), IDCO in his letter dated 12.01.2010 & dated 16.03.2010 intimated that the proposal for revocation of cancellation and change constitution lease hold property corresponding to Shed No. C/6 with its attached land at industrial estate jagatpur (Old) may be considered subject to submission of copy of lease agreement executed with idco on the lease hold property in the sub –registrar office  and  intimated us to execute  necessary  lease agreement with IDCO over Shed No. C/6 at I/E  Jagatpur (Old). Accordingly we had executed  the lease agreement  of Shed No. C/6 at I/E Jagatpur  (Old)  on   dated  31.05.2010 (copy uploaded) . 

       We have also complied other terms  and conditions  of IDCO   time to time as  and when required by IDCO Authority   including regularization of excess land  adjacent to Shed No. C/6 at I/E  Jagatpur (Old)  .

  1. Regarding your question  to furnish  the period of subletting of Shed No. C/6 at I/E Jagtpur (Old)  and to submit the  tenant agreement thereof, we are very much sorry to intimate that, we have never sublet the premises to any  third party  after induction  of the new activity of SS Pipes , SS Cabinets, furniture & Kitchen  equipments duly approved by  DIC ,Cuttack vide EM-II No.210121200001 dated 04.12.2013 and we had sincerely submitted all the required documents to  IDCO for effecting  such changes as per letter No.2190 dated 11.07.2012 of IDCO, Cuttack Division, Jagatpur, which may kindly glanced through.

              It is therefore requested to consider revocation of cancellation  of allotment of Shed No. C/6  &  change of constitution of the unit  at I/E Jagatpur (Old, since we have complied all  your requirements much before in all respects.
